Terms of Service
These Terms of Service (“Terms”) form a legally binding agreement between you and Akhil Jimmy, a sole proprietorship based in Bangalore, India (“PROVRA”, “we”, “our”, “us”), governing your access to and use of the PROVRA web application, mobile applications, and related services (“the Service”). By creating an account or otherwise using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years old to use the Service. Users under 18 in India may only use the Service with verifiable parental consent (Digital Personal Data Protection Act §9). Although the Service is designed for school and early-undergraduate aspirants, the contractual obligations in these Terms (subscription billing, dispute resolution, etc.) require the user — or, for minors, the consenting parent or guardian — to have the legal capacity to contract under Section 11 of the Indian Contract Act, 1872 (i.e. be at least 18 years old and of sound mind). For minors, the consenting parent or guardian accepts these Terms on the child's behalf and is jointly liable for the obligations in them.
2. The Service
PROVRA is a wellbeing-first AI study companion for competitive-exam aspirants. Core features include voice-first session logging, adaptive AI-generated study plans, syllabus tracking, burnout detection via mood/stress signals, Recovery Day protocols, parental dashboards (opt-in), and exam-specific content for exams such as UPSC, JEE, NEET, and CFA.
3. Your Account
You agree to: (a) provide accurate and current information when you register; (b) keep your password confidential; (c) accept responsibility for all activity on your account; and (d) notify us promptly of any unauthorised use of your account.
One person, one account. Sharing an account between multiple study partners is not permitted.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable law.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Scrape, crawl, or otherwise systematically harvest data from the Service.
- Abuse AI quota, rate limits, or other technical safeguards.
- Resell, sublicense, or otherwise commercially exploit the Service without permission.
- Use the Service to harm, harass, or deceive others.
- Upload malicious code, attempt to compromise our infrastructure, or interfere with other users.
- Misrepresent your identity, age, or relationship to a minor.
5. AI Outputs — Not Professional Advice
PROVRA uses large language models to generate study plans, insights, and burnout indicators. These outputs are guidance, not professional advice. They are not, and must not be relied on as, medical, psychiatric, psychological, financial, or legal advice. If you experience symptoms of mental-health distress, please consult a qualified professional. You remain the sole decision-maker about your own study plan, health, and wellbeing.
AI systems are non-deterministic and can be wrong. You should sanity-check any plan, insight, or content the Service produces before acting on it.
6. Subscriptions and Pricing
PROVRA offers a free tier and paid subscription tiers:
- Free — voice logging, basic study plans, limited insights.
- Premium — USD $49/year (or INR equivalent via Razorpay): unlimited AI plans, parental dashboard, advanced analytics.
- Premium Plus — USD $75/year (or INR equivalent): everything in Premium plus priority support and beta features.
All paid subscriptions are billed annually in advance and renew automatically unless cancelled before the renewal date. After a failed renewal we will retry the charge for up to 7 days; if it continues to fail we will downgrade your account to the Free tier.
Indian INR pricing is handled by Razorpay; international USD pricing by Stripe. Applicable taxes (GST in India; sales tax in some jurisdictions) are collected as required by law.
7. Cancellation and Refunds
You may cancel your subscription at any time from your account's Settings page. Cancellation stops future renewals; access continues until the end of the paid period. Refunds are governed by our Refund Policy.
8. Termination by Us
We may suspend or terminate your access without refund if you breach these Terms, misuse the Service, or expose us to legal risk. Where the breach is not severe we will give you reasonable notice and a chance to remedy it. We reserve the right to terminate accounts that are inactive for more than 24 months after notifying you.
9. Intellectual Property
The Service, including its software, design, copy, and content (other than user content), is the intellectual property of PROVRA or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal study purposes.
Your content. Logged sessions, mood entries, and notes you create belong to you. You grant us a worldwide, royalty-free licence to process your content for the sole purpose of delivering the Service to you (including via our AI providers). We do not use your individual content to train third-party AI models.
10. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content.
We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, or that AI outputs will be accurate. Burnout detection is a heuristic and not a clinical diagnosis.
11. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Service in any 12-month period is limited to the greater of (i) the fees you paid us in the 12 months immediately preceding the event giving rise to the claim, and (ii) INR 5,000 or USD 100, whichever is higher. We are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, goodwill, or data. Nothing in these Terms excludes liability that cannot be lawfully excluded (such as for fraud, wilful misconduct, or death/personal injury arising from our negligence).
12. Indemnity
You agree to indemnify and hold us harmless from claims, damages, and reasonable legal fees arising from your breach of these Terms, your misuse of the Service, or your violation of any third-party rights.
13. Changes to the Service or Terms
We may modify features of the Service from time to time, including discontinuing features that are seldom used. Material changes to functionality will be notified in-app.
We may update these Terms. Material changes will be notified at least 30 days before they take effect (by email and an in-app banner). Continued use after the effective date constitutes acceptance.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to the dispute-resolution clause below, the courts of Bangalore, Karnataka, India have exclusive jurisdiction.
15. Dispute Resolution
Good-faith negotiation. Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute by good-faith negotiation for at least 30 days after written notice of the dispute.
Arbitration. Any unresolved dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator mutually appointed by the parties. The seat and venue of the arbitration is Bangalore, India. The proceedings shall be conducted in English. The decision of the arbitrator is final and binding.
16. Force Majeure
Neither party is liable for any failure or delay caused by events outside its reasonable control, including acts of god, government action, war, terrorism, internet outages, third-party hosting failures, or pandemics.
17. Miscellaneous
Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us regarding the Service.
Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a corporate reorganisation or sale.
